Terms of Use — ZED Supplies

1. About these Terms

These Terms of Use (“Terms”) govern your access to and use of zedsupplies.com and any content, functionality or services offered on or through it (the “Website”). “ZED”, “we”, “us” or “our” means Zed Supplies Pty Ltd (ABN 92 659 744 466; ACN 659 744 466)

By using the Website (including by creating an account or clicking to accept), you agree to these Terms and to our Privacy Policy (available on the Website). If you do not agree, do not use the Website. The Website is intended for people aged 18+; by using it you confirm you are of legal age to form a binding contract.

2. Changes to these Terms

We may update these Terms from time to time. Changes are effective when posted on the Website and apply to use after posting. Any change to dispute-resolution terms will not apply to disputes where the parties had actual notice before the change was posted.

3. Access, accounts and security

We may withdraw or amend the Website (or any part) without notice and will not be liable if it is unavailable at any time.
If you register an account, you must provide accurate, current and complete information; keep your credentials confidential; and promptly notify us of any unauthorised use. Your account is personal to you and must not be shared. We may disable any account or credential if we reasonably believe you have breached these Terms.

4. Privacy and communications

Your use of the Website is subject to our Privacy Policy. By providing contact details (e.g., email or phone), you consent to service communications about orders, safety notices, support and similar essential messages. You can opt out of non-essential marketing at any time. Our primary contact for all notices is info@zedsupplies.com

5. Intellectual property and permitted use

Unless otherwise stated, the Website and all content on it (including text, graphics, images, video and software) are owned by us or our licensors and protected by intellectual-property laws. We grant you a personal, revocable, non-exclusive, non-transferable licence to access and use the Website for your own non-commercial use, subject to these Terms.
Except to the extent permitted by law, you must not copy, modify, distribute, publicly display, create derivative works from, or otherwise exploit the Website or its content without our prior written consent. You may print a reasonable number of pages for personal use and may use any sharing features we provide.

6. Trademarks and third-party brands

ZED SUPPLIES and related logos are our trademarks. Other names and marks on the Website — including Milwaukee, Makita and DeWALT — are the property of their respective owners. Any references are descriptive only (e.g., to show battery compatibility of our adapters). 

7. Prohibited uses

You must not use the Website:

  • in breach of any applicable law or regulation;

  • to harm, exploit or attempt to harm others;

  • to transmit spam or unsolicited promotions;

  • to impersonate any person or entity;

  • to upload or share content that is unlawful, defamatory, obscene, misleading, infringing or otherwise objectionable;

  • to interfere with, disrupt or overburden the Website (including via malware, scraping or denial-of-service attacks); or

  • to attempt to gain unauthorised access to the Website or related systems.

8. User content and interactive features

If the Website allows reviews, comments, uploads or other interactive features (“User Content”):

  • Your licence to us. You retain ownership of your User Content, but you grant us a worldwide, royalty-free, transferable, sublicensable licence to use, reproduce, host, modify, adapt, publish, translate, create derivative works from, distribute and display that content in connection with our business and the Website (including for marketing and reposting on our social channels).

  • Your promises. You warrant that you have all rights necessary to grant the above licence and that your User Content complies with these Terms.

  • Moderation. We may monitor, remove or refuse to post any User Content at our discretion, but we do not undertake to review all content before it appears.

Social media UGC consent (#YesZED)

If we reach out on social media and you reply using #YesZED (or another consent hashtag we specify) or otherwise give written permission, you grant the licence above and allow us to use the tagged content — including your display name/handle — on our sites, social channels and marketing materials until you withdraw consent by emailing info@zedsupplies.com

9. Reliance on information and third-party content

Information on the Website is provided for general information only. We try to keep it current, but we do not promise it is accurate, complete or up-to-date. Third-party content (including user reviews, supplier materials or embedded social posts) reflects the views of the authors alone.

10. Links and linking

You may link to our home page in a fair and legal way that does not damage our reputation or suggest endorsement. Do not frame our pages or link in a way that misleads. The Website may contain links to third-party sites we do not control; your use of those sites is at your own risk.

11. Geographic scope

We are an Australian company. People outside Australia may access the Website; if you do, you are responsible for complying with local laws. We offer international postage options as shown on the Website. 

12. Product information, compatibility and safety

Product listings may describe compatibility with certain tool batteries by brand family (e.g., Milwaukee, Makita, DeWALT). Always follow the instructions, observe current-draw limits and safety warnings on each product page. 

13. Australian Consumer Law (ACL) — important notice

Nothing in these Terms limits or excludes any rights, guarantees, warranties or remedies you may have under the Australian Consumer Law (ACL) that cannot lawfully be limited or excluded. Our goods and services come with guarantees that cannot be excluded under the ACL. If you are a consumer, you may be entitled to a repair, replacement or refund for a major failure and compensation for other reasonably foreseeable loss or damage, and to have goods repaired or replaced if they fail to be of acceptable quality and the failure is not major. 

14. Disclaimers (subject to the ACL)

To the maximum extent permitted by law, the Website and its content are provided “as is” and “as available”. We do not promise the Website will be uninterrupted or error-free, or that it is free from viruses or other harmful components. You are responsible for using suitable safeguards (including anti-virus and backups).

15. Limitation of liability (subject to the ACL)

To the maximum extent permitted by law, we exclude all liability for any indirect, incidental, special or consequential loss, loss of profit, data or goodwill, or business interruption, arising out of or in connection with your use of the Website. Where our liability cannot be excluded but can be limited, our liability is limited to, at our option:

  • for goods — repair or replacement, or payment of the cost of repair or replacement; and

  • for services — resupply of the services, or payment of the cost of having the services resupplied.
    This section does not limit liability that cannot be excluded by law. (See the ACL references above.) 

16. Indemnity

You agree to indemnify us (and our officers, employees and contractors) against all losses, costs, expenses, damages and liabilities arising from your breach of these Terms or misuse of the Website.

17. Suspension and termination

We may suspend or terminate your access to all or part of the Website at any time (acting reasonably), including if we believe you have breached these Terms or applicable law.

18. Governing law and jurisdiction

These Terms (and any non-contractual disputes) are governed by the laws of Queensland, Australia. You submit to the non-exclusive jurisdiction of the courts of Queensland and the Commonwealth of Australia. 

19. Time limits (to the extent permitted by law)

Any claim relating to the Website must be brought within one year after the cause of action accrues. This clause does not apply to any claim under the ACL that cannot lawfully be limited. 

20. General

If any part of these Terms is invalid or unenforceable, it will be severed and the rest will remain in force. No waiver is effective unless in writing. These Terms are the entire agreement between you and us about the Website and supersede any prior terms relating to the Website.
